Our Public M&A and Equity Capital Markets (ECM) practice group advises on public M&A transactions, including public takeover offers (takeover bids) and matters relating to mandatory bids and the Swedish Takeover Rules, initial public offerings (IPOs) and other listings, demergers, rights issues and private placements (including directed share issues), as well as other equity offerings and capital raisings.

The practice group also provides advice on inside information and disclosure obligations under the Market Abuse Regulation (MAR) and applicable stock exchange rules, corporate governance for listed companies, including board matters, general meetings and incentive programmes, and company law as well as Swedish securities and capital markets law.

We advise listed companies, bidders, target companies, boards of directors and major shareholders, private equity houses, banks, sovereign entities, and investors seeking Nordic investment opportunities.

For over 35 years, we have guided some of Sweden’s most significant public M&A transactions, initial public offerings, demergers and rights issues. We serve both major listed companies and companies in the earliest stages of preparing for their listings on Nasdaq Stockholm or other relevant trading venues, guiding them through every phase of their journey as public companies.

The team actively participates in the development of self-regulation and best market practices on the Swedish stock market. Our practitioners are members of key bodies such as the Swedish Securities Council, the Stock Market Self-Regulation Committee (ASK), Nasdaq Stockholm’s Listing Committee and Nasdaq Stockholm’s Disciplinary Committee. Members of the team also participate in the working groups proposing amendments to the Swedish Takeover Rules, the Remuneration Rules, Rules on Delisting of Shares and the Rules on Private Placement of Shares.
