Multiconsult and Rejlers announce plans for a cross-border merger
The boards of directors of Multiconsult ASA (“Multiconsult”) and Rejlers AB (publ) (“Rejlers”) have adopted a joint cross-border merger plan for the combination of the companies by way of absorption, with Rejlers as the transferee and surviving company. As merger consideration, the shareholders in Multiconsult will receive 0.9725 class B shares in Rejlers per share in Multiconsult.
The combined company will be named Multiconsult Rejlers AB and the new group is expected to become a leading pan-Nordic multidisciplinary consultancy group, with a strong position in Energy and Industry. Multiconsult Rejlers AB will remain listed on Nasdaq Stockholm and apply for a secondary listing on Euronext Oslo Børs.
The merger is subject to customary conditions precedent, including receipt of regulatory approvals and approval by the general meetings in both companies.
Mannheimer Swartling advised Multiconsult as to Swedish law in connection with the transaction. The firm’s team primarily consisted of Emil Boström, Jakob Wijkander, Johanna Vang, Isak Nodbrink and Carolina Hannerstål, with valuable support from several colleagues from other practice groups.
