Baring Private Equity Asia has reached an agreement on combination with EQT AB

Mannheimer Swartling has advised Baring Private Equity Asia (”BPEA”) in its sale to EQT AB for a consideration amounting to approximately EUR 6.8 billion (corresponding to approximately SEK 70.8 billion).

The consideration consists of 191.2 million new ordinary shares in EQT AB, valued at EUR 5.3 billion, and EUR 1.5 billion in cash.

BPEA is a leading private markets investment firm in Asia, with EUR 17.7 billion in AUM. The combination is part of EQTs’ strategic expansion in Asia. The combined Private Capital businesses will be rebranded as BPEA EQT Asia, and will continue to be led by BPEA’s CEO Jean Eric Salata and BPEA’s senior management team.

The transaction is subject to customary closing conditions and expected to close in the fourth quarter of 2022.
