Ependion acquires Welotec GmbH

Ependion, through its business entity Westermo, has entered into a binding agreement to acquire all shares in the German Welotec GmbH for an initial consideration of EUR 35.2 million, on a cash and debt-free basis. In addition, a performance-based earn-out of up to EUR 14.8 million may be paid dependent on Welotec’s results in 2025-2026. Through this transaction, Westermo strengthens its position in the rapidly growing energy segment and gains access to complementary new technology within Edge Computing.

To partially finance the initial purchase price, the Annual General Meeting in May 2025 will be proposed to authorise the Board to decide on a directed share issue of approximately SEK 300 million.

The completion of the acquisition is expected to occur in the second quarter of 2025.
