E.ON and Statkraft have entered into an agreement regarding the exchange of operations and assets

Mannheimer Swartling has advised E.ON in connection with the agreement entered into by and between E.ON and Statkraft which involves a change in ownership of operations and assets to a value exceeding SEK 80 billion. E.ON acquires Statkraft’s total share holding in E.ON Sverige AB of 44.6 per cent as well as a hydro-electric plant in Sweden. In exchange for the share post in E.ON Sverige AB and the hydro-electric plant in Sweden, Statkraft acquires shares in E.ON AG, 40 hydro-electric plants and five heating plants in Sweden, two gas plants, 11 hydro-electric plants, shares in two bio-fuel driven power plants and a contract for delivery of gas and electricity in Germany as well as one hydro-electric plant in Great Britain.

The transaction between E.ON and Statkraft is expected to be completed at the end of the year, subject to approval from the relevant competition authorities.

Jan Kansmark was the partner responsible for the transaction and was assisted primarily by Magnus Josefsson, Ola Larsson and Anders Ingvarson. Martin Nilsson, assisted by Katja Meitz and Urszula Sieradska, was responsible for the tax law area. Per Molander, assisted by Daniel Drott, was responsible for the environmental law area. Madeleine Rydberger was responsible for the employment law area and Johan Carle for the competition law area. Nils Nostell advised in connection with company law issues. Johanna Stenmann, Annika Estreen, Lisa Björk, Pontus Malmunger, Peter Aronsson and Kristin Rudfjäll have also assisted in different areas of the matter.
