Public M&A and Equity Capital Markets

With a breadth and depth of experience in capital markets, their transactions and regulatory framework, we can provide added value for our clients on strategic and structural issues.

We take an active interest in the development of the Swedish capital markets and continuously monitor the markets, generally accepted practices and legislative issues. The group's lawyers also participate actively in Sweden and internationally in relation to the development and monitoring of generally accepted practices, corporate governance and rules governing company and capital markets law. The group has a Professional Development Lawyer, who has the main responsibility for the group's competence development and business intelligence.

The Public M&A and Equity Capital Markets group is one of the firm’s transaction groups. Our work covers all types of capital market transactions and company law issues including:

  • Public offerings and mergers
  • Private Placements
  • Restructuring
  • Acquisitions in kind
  • New share issues and other raising of capital
  • Stockmarket listings
  • Information issues
  • Insider issues
  • Company law
  • Corporate governance
  • Incentive plans
  • Business and supervisory issues for securities institutions and mutual fund companies

For each transaction, we put together a group of specialists who are needed within areas such as tax, banking and finance, environmental law and real estate. We have a particularly close co-operation with selected law firms in Europe. Together, the firms have established common priciples concerning several jurisdictions in order to achieve efficient co-operation and to be able to accept joint instructions.
